Firmware License Agreement

BEFORE OPENING OR UTILIZING THE ENCLOSED PRODUCT,

CAREFULLY READ THIS LICENSE AGREEMENT.

Thisdocumentisanagreement(“Agreement”)betweentheenduser(“You”)and 

Enterasys Networks, Inc.onbehalfofitselfanditsAffiliates(ashereinafterdefined)

(“Enterasys”)thatsetsforthYourrightsandobligationswithrespecttothe

Enterasyssoftwareprogram/firmwareinstalledontheEnterasysproduct(including

anyaccompanyingdocumentation,hardwareormedia)

(“Program”)inthepackage

andprevailsoveranyadditional,conflictingorinconsistenttermsandconditions

appearingonanypurchaseorderorotherdocumentsubmittedbyYou.“Affiliate”

meansanyperson,partnership,corporation,limitedliabilitycompany,orotherform

ofenterprisethatdirectlyorindirectlythroughoneormoreintermediaries,controls,

oriscontrolledby,orisundercommoncontrolwiththepartyspecified.This

Agreementconstitutestheentireunderstandingbetweentheparties,andsupersedes

allpriordiscussions,representations,understandingsoragreements,whetheroral

orinwriting,betweenthepartieswithrespecttothesubjectmatterofthis

Agreement.TheProgrammay

becontainedinfirmware,chipsorothermedia.

BYINSTALLINGOROTHERWISEUSINGTHEPROGRAM,YOUREPRESENT

THATYOUAREAUTHORIZEDTOACCEPTTHESETERMSONBEHALFOF

THEENDUSER(IFTHEENDUSERISANENTITYONWHOSEBEHALFYOU

AREAUTHORIZEDTOACT,“YOU”AND“YOUR”SHALLBE

DEEMEDTO

REFERTOSUCHENTITY)ANDTHATYOUAGREETHATYOUAREBOUNDBY

THETERMSOFTHISAGREEMENT,WHICHINCLUDES,AMONGOTHER

PROVISIONS,THELICENSE,THEDISCLAIMEROFWARRANTYANDTHE

LIMITATIONOFLIABILITY.IFYOUDONOTAGREETOTHETERMSOFTHIS

AGREEMENTORARENOT

AUTHORIZEDTOENTERINTOTHIS

AGREEMENT, ENTERASYSISUNWILLINGTOLICENSETHEPROGRAMTO

YOUANDYOUAGREETORETURNTHEUNOPENEDPRODUCTTO

ENTERAS YSORYOURDEALER,IFANY,WITHINTEN(10)DAYSFOLLOWING

THEDATEOFRECEIPTFORAFULLREFUND.
